1. AGREEMENT TO TERMS

These Terms and Conditions (“Terms”) establish a legally binding contract between you (“User”, “you”, or “your”) and Didacta Limited, a limited liability company incorporated under the laws of the Republic of Cyprus, with registration number HE 488521, and its registered office at 5 A.G. Leventi, The Leventis Gallery Tower, 13th floor, Office 1301, Nicosia, Cyprus (“Company”, “we”, “us”, or “our”).

By accessing our website https://oneacademy.io/ (the “Website”), registering an account, or subscribing to OneAcademy (the “Service”), you affirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Refund Policy, which are incorporated herein by reference.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE AND THE WEBSITE.

2. USER ELIGIBILITY AND RESTRICTIONS

The Service is intended exclusively for individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is higher. By using the Service, you represent and warrant that you meet this age requirement and possess the full legal capacity, right, and authority to enter into these Terms.

OneAcademy is an online educational platform dedicated to everyday personal finance. We teach practical, real-life skills: budgeting, saving, debt management, building emergency funds, understanding credit, and basic investing concepts such as retirement accounts (401k, IRA), compound interest, and ETFs.

The Service includes:

Self-assessment quizzes

Downloadable resources (budget planner, debt payoff tracker, savings builder, etc.)

OneAcademy provides financial education only, not personalized financial advice. We teach concepts and tools, but we are not licensed financial advisors. For specific decisions about your money, debts, investments or retirement, please consult a qualified professional.

The Service is purely educational and does not offer banking services, investment products, trading tools, or any financial transactions.

4. FINANCIAL DISCLAIMER (CRITICAL NOTICE)

5. SUBSCRIPTIONS, BILLING, AND PAYMENT TERMS

5.1. Payments are processed in U.S. Dollars (USD) via secure third-party gateways. We do not accept cryptocurrencies.

5.2. Subscriptions are available for different periods (monthly, quarterly, semi-annual). Current pricing and features are shown on the Website at the time of purchase.

5.3. BY SUBSCRIBING YOU AUTHORIZE AUTOMATIC RENEWAL. Your payment method will be charged at the then-current rate unless you cancel before renewal.

5.4. We may change prices or features with advance notice. Continued use after the change means you accept the new terms.

5.5. Taxes (including VAT) are your responsibility and will be added at checkout.

6. CANCELLATION, TERMINATION, AND SUSPENSION

6.1. To cancel, email support@oneacademy.io with the subject “Cancellation Request” at least 48 hours before your renewal date.

6.2. You keep access until the end of the current billing period. No prorated refunds unless stated in the Refund Policy.

6.3. We may suspend or terminate your account immediately for breach of these Terms, fraud, or legal requirements.

6.4. You may cancel your account at any time through account settings.

7. REFUND POLICY

All purchases are subject to our separate Refund Policy (available on the Website). In case of conflict, the Refund Policy prevails

8. INTELLECTUAL PROPERTY OWNERSHIP AND LICENSE

The Service, Website, and all Content are the exclusive property of Didacta Limited. “OneAcademy” and its logos are our trademarks.

We grant you a limited, revocable, non-exclusive, non-transferable license to access the Content for your personal, non-commercial use only.

Strictly prohibited: copying, recording, sharing, reverse-engineering, or using automated tools to scrape the Content.

9. USER CONDUCT AND COMMUNITY GUIDELINES

You agree to use the Service lawfully and respectfully. Prohibited actions include spam, harassment, impersonation, uploading harmful content, or interfering with other users.

We may remove content or ban users who violate these rules.

10. DATA PROTECTION AND PRIVACY

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Didacta Limited, its officers, directors, employees and affiliates shall not be liable for any indirect, incidental, consequential or punitive damages.

Our total liability shall not exceed the greater of $100.00 or the amount you paid us in the last 12 months.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Didacta Limited from any claims, damages and expenses arising from your use of the Service or breach of these Terms.

13. THIRD-PARTY LINKS

We are not responsible for any third-party websites or services you may access through OneAcademy.

14. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Republic of Cyprus. Disputes shall be subject to the courts of Nicosia, Cyprus (subject to mandatory EU consumer protections).

15. DISPUTE RESOLUTION

First contact support@oneacademy.io for informal resolution.

Unresolved disputes go to binding arbitration under the rules of the Cyprus Arbitration and Mediation Centre.

CLAIMS ARE INDIVIDUAL ONLY; NO CLASS OR REPRESENTATIVE ACTIONS. Arbitrators cannot merge claims without mutual consent.

We both forfeit rights to court trials before judges or juries.

16. CHANGES TO TERMS

We may update these Terms. Material changes will be notified at least 15 days in advance. Continued use after the changes means you accept the new Terms.

17. MISCELLANEOUS

Force Majeure: We are not liable for delays or failures due to events beyond our control.

Severability: If any provision is invalid, the remainder remains enforceable.

No Waiver: Failure to enforce rights does not waive them.

Entire Agreement: These Terms together with the incorporated policies constitute the full agreement.

Assignment: We may assign these Terms; you may not without our consent.
